Step by Step Formation (Florida)

🏢 Form an LLC

  1. Choose a unique business name

    Search sunbiz.org to confirm your name is available in Florida.

  2. File Articles of Organization

    Submit online at sunbiz.org with the FL Division of Corporations. Filing fee: $125.

  3. Get your EIN

    Apply free at IRS.gov. Required to open a business bank account and hire employees.

  4. Open a business bank account

    Keep business and personal finances 100% separate. Required for LLC liability protection.

  5. Create an Operating Agreement

    Not legally required in FL, but strongly recommended to define ownership rights and responsibilities.

  6. Obtain required licenses

    Check city, county, and state licensing requirements for your specific business type.

  7. File annual report every year

    Due by May 1 each year at sunbiz.org. Annual fee: $138.75.

📈 Add S Corp Election

Start by forming an LLC (left), then elect S Corp status with the IRS.

  1. Form your LLC first

    Complete all steps on the left. S Corp is a tax election on top of your LLC structure.

  2. File IRS Form 2553

    Must be filed within 75 days of incorporation OR by March 15 for current-year election. Filing is free. Download Form 2553 →

  3. Register as an employer with IRS

    You'll need an EIN (already done) and must file quarterly payroll returns (Form 941).

  4. Register with FL Dept. of Revenue

    Required for payroll tax withholding. Register at floridarevenue.com.

  5. Set up owner payroll

    You must pay yourself a reasonable W-2 salary. Use Gusto, ADP, or work with a payroll service. See the Payroll tab for salary guidance.

  6. File Form 1120-S annually

    S Corp annual business tax return. Due March 15 (or Sept 15 with extension). Required even if no profit.

  7. File quarterly Form 941

    Payroll tax returns due April 30, July 31, Oct 31, Jan 31 for each quarter.
